Terms of Service

1. Agreement

These Terms govern your use of the Tradefend website, terminal and connectors (the "Service"), operated by Tradefend LLC ("Tradefend", "we", "us"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

2. What the Service is — and is not

Tradefend is analytical software that reads trading-account state you connect and computes rule-compliance information against parameters published by proprietary trading firms or configured by you. The Service is not investment, financial, trading, tax or legal advice; not a broker, futures commission merchant, retail foreign-exchange dealer or exchange member; and does not direct or manage customer accounts. See our Risk Disclosure, which is part of these Terms.

3. Accounts and access

You receive a Terminal ID (an "FX-" number) at signup. The ID identifies you; your password is the secret — keep it confidential. You are responsible for activity under your account. Connector API keys you create are scoped read-only; arming Breach Guard additionally authorizes position-closing (flatten) instructions as described in Section 4. You may revoke keys at any time from your trading platform or from your Tradefend profile.

4. Breach Guard — standing instruction

Breach Guard is optional and disabled by default. If you arm it, you are issuing a standing instruction for Tradefend to attempt to submit position-closing orders (and cancel working orders) on the connected account when worst-case equity approaches thresholds you configured. Breach Guard is provided on a best-effort, "not held" basis — no guarantee of submission, execution, timing or price. You may disarm it at any time. You are responsible for confirming your firm permits automated trade management before arming.

You agree not to: share one subscription across multiple traders; probe, scrape or reverse-engineer the Service; resell Service output; or use the Service in violation of law or of your agreements with your firm or broker. We may suspend accounts that abuse the Service or its infrastructure.

7. Rule data

Firm rules are third-party data that change without notice. We re-verify rule sets regularly and model conservative readings of ambiguous rules, but we do not warrant that rule data is complete, current or error-free. Your firm's own systems and decisions are authoritative. You remain solely responsible for compliance with your firm's rules.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY OR ERROR-FREE, THAT VERDICTS OR CALCULATIONS WILL MATCH YOUR FIRM'S DETERMINATIONS, OR THAT BREACH GUARD WILL PREVENT ANY RULE VIOLATION OR LOSS.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR TRADING LOSSES, LOST PROFITS, LOST EVALUATION FEES, LOST FUNDED ACCOUNTS OR LOST PAYOUTS, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY IS LIMITED TO THE FEES YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.

10. Termination

You may stop using the Service and cancel at any time. We may terminate or suspend access for breach of these Terms. Sections 2, 7, 8, 9 and 11 survive termination.

11. Governing law

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law rules. Exclusive venue for disputes is the state or federal courts located in Texas.

12. Changes

We may update these Terms; material changes will be notified by email or in-app at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
